{"id":23816,"date":"2023-12-10T14:22:28","date_gmt":"2023-12-10T22:22:28","guid":{"rendered":"https:\/\/essential.construction\/news\/navigating-the-contractual-minefield-of-construction-4-0\/"},"modified":"2023-12-10T14:22:31","modified_gmt":"2023-12-10T22:22:31","slug":"navigating-the-contractual-minefield-of-construction-4-0","status":"publish","type":"post","link":"https:\/\/essential.construction\/news\/navigating-the-contractual-minefield-of-construction-4-0\/","title":{"rendered":"Navigating the Contractual Minefield of Construction 4.0"},"content":{"rendered":"<p> <a href=\"https:\/\/essential.construction\/files\/membership-default-internal\/\" class=\"memberhide\"><img decoding=\"async\" src=\"https:\/\/essential.construction\/news\/wp-content\/uploads\/sites\/15\/2023\/01\/20220718_175041000_iOS.jpg\" alt=\"-\"><\/a><br\/><br \/>\n<\/p>\n<div id=\"\">\n<p>In the excitement of implementing innovation and new ways of working (or indeed, conversely, trying to ignore it entirely), the construction industry habitually forgets the thing that could undo all the progress and benefits.\u00a0 A vague, uncertain, or unsatisfactory contract can lead to differing understandings, disputes, and dissatisfaction.\u00a0<\/p>\n<p>Clients may not get what they expected, and the project team may perform more services and work than they had anticipated or budgeted for.\u00a0 On a related note, the division of duties, obligations, and rights between the parties will consequently be equally open to different interpretations and consequent disputes or waste of time and costs.<\/p>\n<p>What is the starting point to avoid such a fate?\u00a0 Some key issues to consider are the contents of the contractual and technical documentation.<\/p>\n<div class=\"wp-block-qubely-row qubely-section qubely-block-f19f26\">\n<div class=\"qubely-container\">\n<div class=\"qubely-row \">\n<div class=\"wp-block-qubely-column qubely-column qubely-column-front qubely-block-f0ec3a\">\n<div class=\"qubely-column-inner\">\n<p>To learn more about the legal challenges of implementing digitization in construction, please refer to the chapter \u201c<em>Legal Implications of Digitization in the Construction Industry\u201d<\/em>\u00a0by the author as part of a Springer book\u00a0<a rel=\"nofollow noopener\" href=\"https:\/\/link.springer.com\/book\/10.1007\/978-3-030-82430-3\" target=\"_blank\">Industry 4.0 for the Built Environment<\/a>, edited by Marzia Bolpagni, Rui Gavina, and Diogo Rodrigo Ribeiro.<\/p>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n<h2 class=\"wp-block-heading\" id=\"h-new-requirements-for-documentation\">New requirements for documentation<\/h2>\n<p>What is already mentioned in the contract about the intended use of technology?\u00a0 If it is unstated, consider what technology or processes parties want to use and what the result or deliverables are designed to be.\u00a0 Are those set out in the documentation?\u00a0 Is it detailed who does what, when, and how?\u00a0<\/p>\n<p>Has all of that made its way into the binding contractual documentation, or are vital specifications set out in non-binding documents?\u00a0 The latter carries excellent risks as parties can refuse to comply halfway through the project or have to perform extra, unpaid services or works.\u00a0<\/p>\n<p>Where the extent of services or works that need to be performed, or deliverables to be issued, are vague or changing, it becomes crucial to ensure proper records are kept of discussions and oral clarifications. Hence, there is no pointless debate later, particularly given that the parties reaching those agreed discussions will differ from those considering the matter some years later.<\/p>\n<h2 class=\"wp-block-heading\">Disputes and unintended liabilities cannot be entirely avoided<\/h2>\n<p>Equally importantly, if one is undertaking specific technology or technology-related services for the first time, it seems sensible to check with one\u2019s insurance brokers to confirm that such services are fully insured than get a nasty surprise later if a claim arises.<\/p>\n<p>However, risks of dispute and unintended liability cannot be entirely avoided. Apart from those risks already highlighted above, issues arising in this area often fall within a few categories, regardless of region, technology, or process.\u00a0<\/p>\n<p>The first is an unstandardized use of terminology, acronyms, and jargon.\u00a0 Undefined use of language, such as \u201cBIM Level 2\u201d, can be fraught with danger as parties unknowingly have vastly different interpretations of what the phrasing or terminology means and requires of them.\u00a0 Other issues include that copyright and ownership and matters of process and data handling.<\/p>\n<h2 class=\"wp-block-heading\" id=\"h-bim-and-standardization-give-rise-to-new-issues\">BIM and standardization give rise to new issues<\/h2>\n<p>Digital processes may produce new types of data or new categories of products.\u00a0 For example, from a copyright perspective, a BIM model consists of the design, the model itself, objects within the model, existing data, and new or potential data.\u00a0 All of these may belong to different parties or be subject to varying types of copyright ownership.\u00a0\u00a0<\/p>\n<p>Turning to process and data, again, a lack of standardization can give rise to the risk and unintended disputes, but this time about processes and procedures, for example naming conventions, checking processes, and security or confidentiality protocols. The widely recognized interoperability issue also rears its head in implementing many digital and technology services and procedures.<\/p>\n<p>The construction industry\u2019s future\u2014and increasingly its present\u2014is digital. Ignoring the consequential legal and contractual issues and risks will lead to misunderstandings, differing expectations, and potential disputes. The longer-term clarity brought by legislation and case law will take time and is unlikely to be uniform worldwide.
